Confidential information does not include the following:
- Information that the receiving party was previously aware of and had no obligation to keep confidential.
- Information that has been disclosed publicly by the owner and such public disclosure does not violate the receiving party's confidentiality commitment.
- Information that has been independently created or developed without access to confidential information.
- Note: If the receiving party is required by laws, regulations, or valid orders of competent judicial authorities to disclose confidential information, it will not be considered a violation of the confidentiality commitment. However, in such cases, the receiving party must provide, in writing, the reasons or details of the information that it is obliged to disclose, if possible, before providing the information to the competent authorities, and in the event of impossibility, within a maximum of three days after the disclosure of the information, to the owner of the confidential information.
